Terms and Conditions of Service

1. Acceptance of Terms

These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between you and Ethereal Spaces ("we," "us," or "our") governing your access to and use of the Ethereal Spaces website, including any subdomains thereof, and any other websites through which we make our services available (collectively, "Site"), our mobile, tablet and other smart device applications, and all associated services (collectively, "Services"). By accessing or using the Site or Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using the Site or Services.

2. Definitions

"Platform" refers to the Ethereal Spaces Site and Services collectively.
"User" refers to any person who accesses or uses the Platform, including for browsing.
"Guest" refers to a User who requests to book or books a Space via the Platform.
"Host" refers to a User who creates and lists a Space on the Platform.
"Space" refers to any venue, property, or location that is listed by a Host on the Platform.
"Booking" refers to a limited license granted by the Host to the Guest to enter and use the Space for a specific duration.
"Content" refers to all text, graphics, images, music, software, audio, video, information or other materials.

3. Scope of Services

The Ethereal Spaces Platform is an online marketplace that enables registered users ("Hosts") to publish their Spaces and to communicate and transact directly with other registered users ("Guests") who are seeking to book such Spaces. Ethereal Spaces is not an owner or operator of properties, nor is it a provider of real estate services. Our role is solely to facilitate the availability of the Platform and to serve as the limited payment collection agent of each Host for the purpose of accepting payments from Guests on behalf of the Host. We are not a party to any agreement entered into between Hosts and Guests.

4. Eligibility and Account Registration

You must be at least 18 years old and able to enter into legally binding contracts to access and use the Ethereal Spaces Platform or register an account. By accessing or using the Platform, you represent and warrant that you are 18 or older and have the legal capacity and authority to enter into a contract. You must provide accurate, current, and complete information during the registration process and keep your account information up-to-date. You are responsible for safeguarding your password and for any activities or actions under your account, whether or not you have authorized them.

5. Host-Specific Terms

As a Host, you are responsible for the Content and accuracy of your Space listing. You represent and warrant that you have all necessary rights, licenses, and permissions to list the Space and that the listing and any subsequent Booking will not breach any agreements you have with third parties. You are solely responsible for setting the price for your Space and for establishing rules and requirements for your listing. You must provide a safe, clean, and accurately described Space for your Guests. You acknowledge that Ethereal Spaces does not act as an insurer or as your contracting agent.

6. Guest-Specific Terms

As a Guest, you are responsible for leaving the Space in the condition it was in when you arrived. You agree to abide by the rules and requirements set by the Host. You are responsible for your own acts and omissions and are also responsible for the acts and omissions of any individuals whom you invite to, or provide access to, the Space. Upon confirmation of a Booking, you enter into a direct contract with the Host and agree to accept any terms, conditions, rules, and restrictions associated with such Space imposed by the Host.

7. Fees and Payments

Ethereal Spaces collects fees from both Hosts and Guests (collectively, "Service Fees") in consideration for the use of the Platform. The applicable Service Fees will be displayed to the User before they complete a booking or listing. We reserve the right to change the Service Fees at any time. All payments are processed through a third-party payment processor. By providing your payment information, you authorize us and our payment processor to charge the applicable fees. You are responsible for paying any and all applicable taxes that may be due on any amounts paid or received through the Platform.

8. Cancellations and Refunds

Hosts are responsible for setting their own cancellation policies, which will be clearly displayed on the Space listing page. Guests can cancel and receive a refund based on the terms of the applicable cancellation policy. Ethereal Spaces' Service Fees are non-refundable unless otherwise specified in the cancellation policy. In the event of extenuating circumstances, we may, at our sole discretion, decide to override the Host's cancellation policy and issue a refund to the Guest.

9. User Conduct

You agree to use the Ethereal Spaces Platform in compliance with all applicable local, state, national, and international laws, rules, and regulations. You will not use the Platform for any purpose that is fraudulent, discriminatory, or unlawful. You will not engage in any activity that could damage, disable, overburden, or impair the Platform. You are solely responsible for your interactions with other Users.

10. Content and Intellectual Property

The Ethereal Spaces Platform and all of its Content are protected by copyright, trademark, and other laws of the applicable jurisdictions. You acknowledge and agree that the Platform and its Content, including all associated intellectual property rights, are the exclusive property of Ethereal Spaces and its licensors. By creating, uploading, or posting any Content on the Platform, you grant Ethereal Spaces a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable license to use, store, display, reproduce, modify, and distribute such Content for the purposes of operating and promoting the Platform.

11. Disclaimers

If you choose to use the Ethereal Spaces Platform, you do so voluntarily and at your sole risk. The Platform is provided "as is," without warranty of any kind, either express or implied. We make no warranty that the Platform will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality of any listings, Spaces, Hosts, Guests, or the accuracy, timeliness, truthfulness, completeness, or reliability of any Content obtained through the Platform.

12. Limitation of Liability

To the maximum extent permitted by applicable law, you agree that Ethereal Spaces and its affiliates, officers, directors, employees, and agents will not be liable for any incidental, special, exemplary, or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure, or the cost of substitute products or services, arising out of or in connection with these terms or from the use of or inability to use the Platform, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory.

13. Dispute Resolution

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services or the Platform will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

14. General Provisions

These Terms constitute the entire and exclusive understanding and agreement between Ethereal Spaces and you regarding the Platform and any bookings or listings of Spaces made via the Platform. These Terms supersede and replace any and all prior oral or written understandings or agreements. If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.
